20/06/2008: Intellect: Completing the IT Contract Now - session three: Liability Limits - what is standard?

Friday, 20 Jun 2008 10:11
Hosted by Blake Lapthorn Tarlo Lyons (BLTL), this breakfast briefing is designed to share BLTL’s and industry expert speakers’ real life and practical experiences of IT contracts, clauses and negotiations in order to help you complete your contracts quicker and with better results.

What's being talked about?

Contentious clauses do not come much more contentious than limitation and exclusion clauses. The Customer may disagree vehemently with these exclusions. This contentious issue might be "parked" until late on in the negotiations – but it can then become a "deal breaker" or "show stopper"!

Why should I attend?

Make your deals/relationships better and avoid ruining deals/relationships by:

  • understanding how other organisations deal with this subject
  • finding out what is "standard" and what is not "standard"
  • being clear about the true meaning of commonly used phrases (e.g., limitation of liability, a total exclusion of liability, a cap, consequential or indirect losses etc)
  • understanding how a cap on liability is set – see what the courts say
  • learning how the law comes into play here (to ensure caps are reasonable)
  • learning from case studies - finding out where things have gone right and where things have gone wrong
  • understanding the latest industry and legal approaches on limitation of liability clauses
